Effective from 01.01.2026 

Disclaimer: In the event of any discrepancy between the English translation and the Norwegian version of the agreement and product terms and conditions, the Norwegian version shall prevail. 

1. Introductory Provisions 

1.1 These terms and conditions regulate the product “Minimum” delivered by AutoSync AS as a Toll Service Provider (hereinafter the “Company”) to private or business customers (hereinafter the “Customer”). The general terms and conditions for private or business customers also apply, but these Product Terms take precedence in the event of conflict. 
The Product covers the Customer’s payment for toll passages in AutoPASS Samvirke and satisfies the requirements for a user agreement under the Issuer Regulations § 15. All passages connected to the Customer’s Agreement (hereinafter “Agreement Passage”) are included, regardless of whether the passage is registered via Electronic Tag or License Plate recognition. 

1.2 Through the Agreement, an Electronic Tag (“the Tag”) is made available to the Customer. The Tag is the property of the Company and functions as the identification key at toll stations. The Customer is obligated to use it correctly, see section 3. 

1.3 To be a Customer, you must be 18 years or older. The Customer’s access to the Product is personal. If the Customer grants third-party access, the Customer remains legally, financially, and factually responsible for ensuring that the use complies with the Agreement. For business customers, the Agreement is linked to an organization number. 

1.4 AutoPASS-discounts apply from the time the order is confirmed received and registered by Statens vegvesen (the Norwegian Public Roads Administration). Passages made before the order is received and registered will be invoiced by the relevant Operators without discounts or other benefits. 

2. Definitions 

2.1 Agreement: The overarching agreement between the Company and the Customer for delivery of Products. 

2.2 Company: AutoSync AS, offering various vehicle and mobility-related services, including toll and ferry payment, and approved as a Toll Service Provider by Statens vegvesen. 

2.3 Customer: The private individual, business, or legal entity entering into the Agreement with the Company. 

2.4 Product: Refers in these Product Terms to the use of the Electronic Tag issued by the Company for registering toll and ferry passages, payment to the Company for such Agreement Passages at discounted rates, and associated services. 

2.5 Operator: A collective term for toll road companies and ferry companies participating in AutoPASS Samvirke. These Operators maintain the technical infrastructure that registers passages. 

2.6 AutoPASS: The Norwegian system for electronic registration and payment of toll passages, owned by Statens vegvesen. 

2.7 Toll Service provider (TSP): A company approved under the TSP-Regulations to enter into agreements with Operators and Customers to provide payment services for toll and ferry transport via AutoPASS Samvirke. 

2.8 AutoPASS Samvirke: The network for electronic registration and payment of toll passages on public roads and ferry tickets on public ferry routes in Norway. 

2.9 Agreement Passage: A toll or ferry passage registered at a Registration Point and assigned to the Customer’s Agreement with the Company. 

2.10 Electronic Tag: An electronic device made available by the Company to identify vehicles and link them to the Agreement. 

2.11 TSP-Regulations: Regulations governing toll service on public roads and electronic ticketing through AutoPASS Samvirke. 

2.12 Registration Point: Infrastructure that electronically registers a vehicle and its Electronic Tag as it passes. 

2.13 License Plate: The registration number of a vehicle. 

2.14 Tag Fee: A fee for issuing an Electronic Tag. The fee must be proportionate to the Company’s costs associated with issuance. 

2.15 Heavy Vehicles: Vehicles with a permitted total weight over 3,500 kg, which must use an electronic payment device linked to a valid AutoPASS agreement, cf. the Road Act § 13 and the Regulation on mandatory use of electronic tags in motor vehicles over 3,500 kg. 

3. Use of the Electronic Tag 

3.1 The Electronic Tag (“the Tag”) is a physical device used to identify the vehicle, including registering Agreement Passages in AutoPASS Samvirke. The Tag is linked to the vehicle’s License Plate and can be used at all automatic toll stations and ferry installations in Norway. 

3.2 The Tag can be used in several countries connected to EasyGo and EETS (European Electronic Toll Service). The Product includes use of the Tag at Registration Points connected to AutoPASS Samvirke in Scandinavia. 

3.3 The Tag is issued by the Company upon order. The Customer is charged a Tag Fee. The fee must be proportionate to the Company’s costs. The Tag Fee applies per Tag ordered. 
The Tag is the property of the Company, and the Company may require its return if the Agreement is terminated (see section 13.6). In the event of a lost or damaged Tag, the Company may charge a new Tag Fee. 

3.4 The Customer may register one or more vehicles under the Agreement. Each vehicle must have its own Tag. 

3.5 For vehicles registered in Norway, the License Plate must be provided under the Agreement and linked to the Tag—not any personalized plates. 

3.6 Each Tag must not be used in any vehicle other than the one to which it is registered. Breach of this requirement constitutes a violation of the Agreement and may result in suspension or termination. The Customer will be charged for Agreement Passages registered with the Tag even if used in another vehicle. Incorrect use may result in charges under the Agreement and additional charges directly from Operators without discounts. 

3.7 The Tag must be mounted in the vehicle according to the Company’s instructions. To qualify for discounts and benefits, the Customer must place the Tag in the correct vehicle (section 3.6) and follow the installation guidelines. 

3.8 Failure to use the Tag correctly may create additional costs and increase the risk of errors. The Company may therefore charge extra for Agreement Passages made without a correctly installed Tag. 

3.9 When selling or otherwise transferring a vehicle, the Customer must terminate or update the Agreement information. Until the update or termination is confirmed received and registered by Statens vegvesen, the Customer remains financially responsible for Agreement Passages. The same applies to leased or otherwise used vehicles. 

3.10 If no Agreement Passages are registered under a Tag during the last 12 months, the Company may terminate that Tag. The Customer will be notified prior to termination due to inactivity. Heavy vehicles requiring mandatory Tags will not be terminated for inactivity. 

3.11 The Tag will be replaced by the Company when necessary for reasons such as battery life or technological updates. Such replacement will be notified in advance. Replacement triggers a new Tag Fee unless the Agreement is terminated at least 30 days before the renewal date. 

4. Prices, Discounts, and Payment 

4.1 Rates and discounts for use of the Product in toll systems, ferry systems, and Registration Points connected to AutoPASS Samvirke in Scandinavia (see section 3.2) are set by public authorities and Operators. Information is available on AutoPASS.no and each Operator’s website. 

4.2 Invoices are sent via the channel selected by the Customer, provided it is supported by AutoSync. Available payment methods are listed on the Company’s website. 

4.3 When paying, the Customer must use the payment details provided on the invoice. The Customer is responsible for ensuring payment to the correct account with the correct reference/KID number. Incorrect account numbers result in the payment not being registered and may lead to temporary suspension. Incorrect KID numbers may delay processing and cause temporary suspension of the Tag. 

4.4 If the Customer does not pay by the due date, the Company is entitled to late payment interest under the Norwegian Interest on Overdue Payments Act (Forsinkelsesrenteloven). For business customers, an EU compensation fee may also apply. 

4.5 The Customer is responsible for the accuracy of all provided information. Errors do not exempt from payment responsibility unless caused by the Company. 

4.6 The Company may charge fees for the Customer’s choice of payment or invoicing method, proportionate to the associated costs. 

4.7 Overpayments may be offset against other claims between the Customer and the Company, even if a Tag is inactive or terminated. 

4.8 Customer credit balances are paid out upon request. Amounts below NOK 20 are not paid out but offset against future charges or upon termination. 

4.9 Rates in Registration Points in Scandinavia (section 3.2) are listed in local currency. The Company converts to NOK with a currency surcharge stated in the price list. Operators may apply local VAT, which is specified in the invoice attachments. 

4.10 Under terms valid until 31.10.23, AutoPASS Tags were issued against a deposit. This deposit scheme was replaced with a Tag subscription from 01.11.23. For agreements with deposits under the old scheme, subscription charges after 01.11.23 were offset against the deposit until fully refunded. For Customers switching from AutoSync “Standard” to “Minimum” after 01.01.26, the Tag Fee is offset against remaining deposit before additional Tag Fee charges apply. Customers terminating before full deposit repayment will receive refunds exceeding NOK 20. 

5. Company’s Duties and Rights 

5.1 The Company has the right and obligation to collect payment for the Customer’s Agreement Passages in AutoPASS Samvirke, cf. TSP-Regulations § 15. 

5.2 The Company must ensure that Agreement-related information, including vehicle details, is made available to Operators. 

5.3 The Company has the right, but not the obligation, to update Customer information using public registers such as the Motor Vehicle Register or Population Register. 

5.4 The Agreement may be transferred to Toll Service Provider if the Company ceases operations or stops entering AutoPASS agreements, or due to merger, demerger, or restructuring. The Customer will be notified at least 14 days in advance. 

5.5 The Company will indemnify the Customer for lost discounts or increased toll/ferry prices caused by the Company’s own errors. Indemnification covers only direct losses. Other losses or consequences cannot be claimed. The Company may assist the Customer in clarifying whether an error lies with the Operator. 

5.6 The Company may require financial security based on the Customer’s payment ability/willingness, proportionate to the risk. This may include a deposit, prepayment, or linking the Agreement to a payment card. 

5.7 The Company may suspend the Agreement if the Customer exceeds their credit limit or materially breaches the Agreement, including misuse of the Tag or provision of incorrect information. 

5.8 Non-payment constitutes material breach and may lead to suspension or termination, see section 13. 

6. Customer’s Duties and Rights 

6.1 The Customer must provide correct and complete information, including vehicle details, and ensure all information is updated. Changes must be reported immediately through the Company’s digital self-service solution or customer service. 

6.2 The Customer is entitled to discounts or exemptions for Agreement Passages under the applicable AutoPASS rate guidelines, provided the Agreement is valid. Rights lapse if the Agreement is suspended or terminated. 

6.3 The Customer must use the Services only as intended and must pay for all Agreement Passages, regardless of who drives the vehicle or how the passage is registered. 

6.4 Payment to the Company releases the Customer from further liability for Agreement Passages. Passage information accompanies invoices and is also available on the Company’s website. 

7. Changes to the Agreement 

7.1 The Company may change the Product Terms due to changes in technical infrastructure, supplier conditions, or regulatory requirements. Changes may not conflict with mandatory law, such as the TSP-Regulations. 

7.2 Minor changes will be announced on the Company’s website. Significant changes will be notified to the Customer at least four weeks in advance by email. Customers not accepting changes may terminate the Product, see section 13. 

8. Privacy and Use of Data 

8.1 The Customer’s personal data will be processed in accordance with applicable privacy legislation. The Company may process personal data to enable identification and payment for toll and ferry transport, fulfil the Agreement, or provide communication based on consent. 

8.2 The Company may receive, process, and share personal data to fulfil agreements with partners such as banks, parking companies, charging operators, and other distributors. Sharing only occurs with a valid legal basis and data processor agreements where required. 

8.3 If the Agreement is transferred to another Toll Service Provider, necessary personal data may be transferred. The Customer will be notified at least 14 days before transfer. 

8.4 The Company may disclose Customer information, including personal data, to Operators, collection partners, and Statens vegvesen to: 

  • determine correct rates 

  • handle Customer inquiries 

  • transfer payment responsibility to the Company 

8.5 Personal data may be disclosed when legally required. Tag ID and License Plate information may be provided to Police, Customs, or Statens vegvesen inspection authorities. 

8.6 The Customer has the right to request access, rectification, or deletion of personal data under GDPR Articles 15–17, provided the data is not necessary for the Company to fulfil the Agreement. 

8.7 To provide personalized offers, the Company stores and uses Customer-provided information, payment history, usage patterns, and public registry information where relevant. Data used for analysis is anonymized. De-identified data may be used for research.

9. System Maintenance 

9.1 Minor system changes not expected to cause disruptions will occur continuously without notice. 

9.2 Planned maintenance will be avoided during critical periods unless strictly necessary. 

10. Limitation of Liability 

10.1 The Company’s liability is limited to reimbursement of unjustly imposed or invoiced Products. The Company is not liable for any other losses, damages, or costs arising from the Customer’s use or lack of access to the Product. This limitation does not apply in cases of gross negligence or intentional misconduct. 

11. Communication and Complaints 

11.1 Customer inquiries may be submitted via the Company’s customer service channels. Contact information is available on the Company’s website. 

11.2 Unless otherwise specified, information will be provided via the Company’s website or invoices. Extraordinary information may be sent by email or other electronic channels. 

11.3 Complaints regarding incorrect invoicing must be submitted in writing within three weeks from when the Customer knew or should have known of the issue. 
If the Customer claims exemption due to a stolen Tag, a police report and explanation must be provided. 

 
The Customer is responsible for Agreement Passages, but the Company will assist in communication with Operators. 

12. Right of Withdrawal 

(Applies to private customers only.) 

12.1 Under the Right of Withdrawal Act § 2(f), the right of withdrawal does not apply to agreements covered by the Financial Agreements Act. A user agreement for AutoPASS under the TSP-Regulations § 15 is such an agreement, meaning the right of withdrawal does not apply. However, the Customer may terminate the Agreement under section 13. 

13. Termination of the Agreement 

13.1 The Customer may terminate the Product at any time. For private customers, termination is effective from the date the Company receives notification and registers it in AutoPASS Samvirke. Business customers may terminate with 30 days’ written notice. Payment obligations continue until the termination period has ended, all Agreement Passages and outstanding claims are paid, and deregistration is confirmed by Statens vegvesen. 

13.2 Termination must be submitted via the customer portal or in writing to customer service. 

13.3 If the Customer has unpaid claims or otherwise breaches the Agreement, the Company may suspend the Agreement and the Tag until resolved. Claims may be forwarded to debt collection. Suspension removes access to all Products. 
In cases of material breach, including repeated non-payment, the Company may terminate immediately. For less serious breaches, the Customer will receive a 14-day notice to correct the issue. 

13.4 The Company may terminate the Agreement upon receiving notice of death, bankruptcy petition, insolvency, or personal bankruptcy involving the Customer. The Customer may not transfer the Product or Agreement to a third party without written consent. 

13.5 The Agreement may be transferred to another entity if the Company ceases operations or undergoes restructuring. The Customer will be notified at least 14 days prior. 

13.6 Upon termination, the Company may require return of the Tag. The Customer covers return costs. Failure to return the Tag may result in a fee equal to the replacement cost. 

14. Governing Law and Dispute Resolution 

14.1 These Product Terms and the Agreement are governed by and interpreted in accordance with Norwegian law. 

14.2 Any dispute arising from or in connection with the Agreement shall be resolved by the ordinary courts of law.
