Effective from 01.01.2026 

Disclaimer: In the event of any discrepancy between the English translation and the Norwegian version of the agreement and product terms and conditions, the Norwegian version shall prevail. 

1. Introductory Provisions 

1.1 These terms regulate the product “Standard” delivered by AutoSync AS (hereinafter the “Company”) to private or business customers (hereinafter the “Customer”). AutoSync Standard is a Product that provides Operators with whom the Company has agreements with up-to-date information about the Customer’s vehicle and provides the Customer with access to updated information about transactions and payment obligations related to use of a vehicle. The general terms and conditions for private or business customers also apply, but these product terms take precedence in the event of conflict. 

The Product includes payment and administration of toll and ferry crossings through AutoPASS Samvirke. The Company will continuously update and maintain the Product. Conditions for new products may be added to these product terms and the agreement between the Customer and the Company. An updated overview is available on the Company’s website. 

1.2 Through the Product, an Electronic Tag is made available to the Customer. The Tag is the property of the Company and functions as the key for identification, including in toll stations and other vehicle-related Registration Points. The Customer is obligated to use the Tag correctly, see section 3. 

1.3 To be a Customer, you must be 18 years or older. The Customer’s access to the Product is personal. If the Customer grants third parties access to the Product, the Customer is legally, financially, and factually responsible for ensuring that the use complies with the Agreement and these Product Terms. For Norwegian business customers, the Agreement is linked to an organisation number. 

1.4 The Agreement is entered into at the time the Customer has registered with the Company. It takes several days from agreement entry before the Electronic Tag is activated. Discounts and rates for AutoPASS apply from the time the vehicle is registered and confirmed received by the Norwegian Public Roads Administration (Statens vegvesen). Crossings made before the Tag is activated will be invoiced by the relevant Operators without discounts or other benefits. 

2. Definitions 

2.1 Agreement: 
The general agreement between the Company and the Customer for delivery of Products. 

2.2 Company: 
AutoSync AS, which offers various Products related to vehicle and mobility services, including payment of tolls and ferry transport, and is approved as a toll service provider by Statens vegvesen. 

2.3 Customer: 
The private individual, business, or legal entity that enters into an Agreement with the Company. 

2.4 Product: 
Any service the Customer gains access to through the Agreement, triggered by electronic identification of the vehicle. This may include toll passages, ferry crossings, parking, charging, or other comparable mobility services. An updated overview is available on the Company’s website. 

2.5 Operator: 
Any third party with whom AutoSync has entered into an agreement or cooperation to provide Products under the Agreement. This includes, but is not limited to, toll road companies, ferry companies, parking operators, charging operators, and other providers whose services the Customer accesses through the Agreement. 

2.6 AutoPASS: 
The Norwegian system for electronic registration and payment of toll crossings, owned by Statens vegvesen. 

2.7 Toll Service Provider (TSP): 
A company approved under the TSP-Regulations to enter into agreements with Operators and Customers in order to offer Products for payment of tolls and ferry transport through AutoPASS Samvirke. 

2.8 AutoPASS Samvirke: 
The network for electronic registration and payment of toll crossings on public roads and ferry tickets on public ferry routes in Norway. 

2.9 Passage: 
An event where a vehicle is identified when passing a Registration Point of an Operator. The vehicle is normally identified via an Electronic Tag, but may also be identified by license plate recognition. Such Passage gives rise to the Customer’s payment obligation to the Company. 

2.10 Electronic Tag: 
An electronic device made available by the Company to identify vehicles and link them to the Agreement when passing Registration points. 

2.11 TSP-Regulations: 
Regulations governing toll-issuing activities on public roads in Norway and electronic ticketing through AutoPASS Samvirke. 

2.12 Registration Point: 
Infrastructure that electronically registers that the vehicle and the Electronic Tag have passed. 

2.13 License Plate: 
The registration number of a vehicle. 

2.14 Monthly Price: 
The ongoing Agreement with the Company is paid by the Customer at a fixed monthly price per vehicle. 

2.15 Heavy Vehicles: 
Vehicles with a permitted total weight of over 3,500 kg that are required to use an electronic payment device linked to a valid agreement with an AutoPASS issuer, cf. the Road Act § 13 and the Regulation on mandatory use of electronic tags in vehicles over 3,500 kg. 

3. Use of Electronic Tag 

3.1 The Electronic Tag (“the Tag”) is a physical device used to identify vehicles, including for registering Passages in AutoPASS Samvirke. The Tag is linked to the vehicle’s License Plate and can be used at all automatic toll stations and ferry facilities in Norway. The Tag may also be used for other vehicle-related Products adapted for this functionality. For an overview of the Products the Tag can be used for, see the Company’s website. 

3.2 The Electronic Tag can be used in multiple countries connected to EasyGo and EETS (European Electronic Toll Service). The Product includes use of the Tag outside Norway. 

3.3 The Tag is issued by the Company when the Agreement begins. The Tag is the property of the Company, and the Company may require its return if the Agreement is terminated (see section 13.6). Replacement of a defective Tag or one that is lost or stolen is included in the Product. 

3.4 The Customer may register one or more vehicles under the Agreement. Each vehicle must have its own Tag. The Customer pays a Monthly Price per registered vehicle, see section 4.1. 

3.5 For vehicles registered in Norway, the License Plate must be provided under the Agreement and linked to the Tag, not personalized plates. 

3.6 Each Tag must only be used in the vehicle and for the License Plate registered for that Tag. Violation of this requirement constitutes breach of the Agreement and may result in blocking or termination. The Customer will be charged for Passages registered with the Tag even if used in another vehicle. Incorrect use may result in charges under the Agreement and charges directly from Operators without discounts. 

3.7 The Tag must be installed in the vehicle according to the Company’s instructions. To qualify for discounts and benefits, the Customer must place the Tag in the correct vehicle (section 3.6) and follow installation guidelines. 

3.8 Incorrect use or non-use of the Tag increases costs and the risk of errors. The Company may therefore charge extra for Passages made without a correctly installed Tag. 

3.9 Upon sale or transfer of a vehicle, the Customer must update or terminate the Agreement information on the Company’s website. Until the update or termination is confirmed received and registered by Statens vegvesen, the Customer remains responsible for Passages made with the vehicle and/or Tag. The same applies to leased or otherwise borrowed vehicles. 

3.10 If no Passages are registered under the Agreement during the last 12 months, the Company may terminate the Agreement. The Customer will be notified before termination due to inactivity. Vehicles registered as Heavy Vehicles with mandatory Tag requirements will not be terminated due to inactivity. 

3.11 The Electronic Tag will be replaced when the Company finds it necessary, for example due to battery life or technological updates. Replacement costs are included in the Product. In cases of deliberate damage or gross negligence by the Customer, the Company may charge for the replacement Tag. Current costs are stated on the Company’s website. 

4. Prices, Payment, and Invoicing 

4.1 The Customer pays a Monthly Price for each vehicle linked to the Agreement (see section 6.5 regarding pause). In addition, the Customer must pay for Product usage triggered by Passage, such as toll crossings. Rates and any discounts related to toll and ferry systems are set by public authorities and Operators. Information is available on AutoPASS.no and each Operator’s website. 

The Company may adjust the Monthly Price, e.g., when new Products are launched. Significant changes will be notified according to section 7. Current prices are listed on the Company’s website. Operators announce their own rate changes separately. 

4.2 Invoices are sent through the channel selected by the Customer, provided it is supported by AutoSync. Available payment methods are listed on the Company’s website. 

4.3 When paying, the Customer must use the payment details stated on the invoice. The Customer is responsible for ensuring payment is made to the correct account number with the correct reference/KID number. Incorrect account numbers result in the payment not being registered and may lead to temporary suspension until payment is made. Incorrect KID numbers may delay registration, causing temporary Tag inactivity and additional costs. 

4.4 If the Customer does not pay by the due date, the Company is entitled to late payment interest under the Norwegian Interest on Overdue Payments Act. Business customers may also incur an EU compensation fee under section 3a of the same Act. 

4.5 The Customer is responsible for the accuracy of all information. Incorrect information does not exempt from payment responsibility unless the error is caused by the Company. 

4.6 The Company may charge fees related to the Customer’s chosen payment or invoicing method. The fee must be proportionate to the Company’s associated costs. 

4.7 Overpayments may be offset against other claims between the Customer and the Company. Such set-off may be carried out regardless of the Tag’s status, provided claims exist between the same parties. 

4.8 Customer credit balances are paid out upon request. Balances below NOK 20 are not paid out but offset against future charges or upon termination. Payment is made to the same account from which payment was received. 

4.9 Toll rates outside Norway (section 3.2) are listed in local currency. The Company converts them to NOK with a currency surcharge stated in the price list. Some Operators include local VAT, which is specified in the attached VAT statement. 

4.10 Under terms valid until 31.10.23, AutoPASS Tags were issued against a deposit. This deposit scheme was replaced by a subscription on 01.11.23. For agreements with existing deposits, the Monthly Price is offset against the deposit until it is fully repaid. 

If the Customer terminates the Agreement before the deposit is repaid, the Company will refund the remaining balance after offsetting outstanding claims (provided the amount exceeds NOK 20). 

5. Company’s Duties and Rights 

5.1 The Company delivers Products independently or acts as an intermediary between the Customer and Operators. The Company has the right to collect payment under the Agreement, including all Passages in AutoPASS Samvirke, see TSP-Regulations § 15. 

5.2 The Company must ensure that necessary information linked to the Customer’s Agreement, including vehicle information, is made available to Operators. 

5.3 The Company has the right, but not the obligation, to update Customer-registered information using public registers such as the Motor Vehicle Register or Population Register. 

5.4 The Agreement may be transferred to another Toll Service Provider if the Company ceases operations or stops entering AutoPASS agreements. It may also be transferred due to mergers, demergers, or other restructurings. The Customer will be notified at least 14 days prior to transfer. 

5.5 The Company will indemnify the Customer of loss of discounts or increased toll/ferry prices caused by errors made by the Company. Indemnification covers only directly affected discounts or price increases. Other costs or losses cannot be claimed. The Company may assist the Customer in identifying whether errors occurred with the Operator when neither the Customer nor the Company is at fault. 

5.6 The Company may require financial security based on documented payment ability/willingness, proportionate to the Customer’s credit risk. This may include deposits, advance payments, or linking the Agreement to a payment card. 

5.7 The Company may suspend the Agreement if the Customer exceeds their credit limit or materially breaches the Agreement, including misuse of the Tag or provision of incorrect information. 

5.8 Non-payment is considered material breach and may lead to blocking or termination, see section 13. 

5.9 The Product may include various benefits and additional services, which may be updated over time and published on the Company’s website. 

6. Customer’s Duties and Rights 

6.1 The Customer is responsible for ensuring that all Agreement-related information is correct. The Customer must provide accurate and complete information necessary for the Company and Operators to manage the Agreement and price Product usage correctly. 

Changes must be reported immediately through self-service channels or to customer service. This includes changes to contact details, vehicle information, and other relevant data. 

6.2 The Customer is entitled to discounts and exemptions according to the applicable AutoPASS guidelines when Passages are registered and the Agreement is valid. Guidelines are available at autopass.no. Rights to discounts and exemptions lapse if the Agreement is blocked or terminated. 

6.3 The Customer must use Products only according to purpose and function and is obligated to pay for all Passages registered under the Agreement, regardless of who uses the vehicle or whether identification is by Tag or license plate. 

6.4 Full payment to the Company releases the Customer from further liability. The Customer’s payment obligation for Passages under the Agreement is owed to the Company. Passage information accompanies the invoice and is also available on the Company’s self-service channel. 

6.5 The Customer may pause a vehicle or Tag at no cost. If the vehicle is used while paused, no discounts apply, and the Operator will invoice the Customer directly. 

7. Changes to the Agreement 

7.1 The Company may change the Agreement, prices, and Products due to expanded offerings, infrastructure changes, changes in supplier terms, or updates to public regulations. Changes cannot conflict with mandatory law, including the TSP- Regulations. 

7.2 Minor changes will be announced on the Company’s website. Significant changes will be notified to the Customer at least four weeks in advance by email. Customers who do not accept changes may terminate the Agreement (see section 13). 

8. Privacy and Use of Data 

8.1 The Customer’s personal data shall be processed in accordance with applicable privacy laws. The Company may process personal data to enable identification and payment for toll and ferry transport and to fulfil the Agreement with the Customer or based on communication consent. 

8.2 The Company may receive, process, and share personal data to fulfil agreements the Customer has entered into with the Company’s partners, such as banks, parking companies, charging operators, and other distributors and operators. Sharing occurs only with a valid legal basis and data processing agreements where required. 

8.3 If the Agreement is transferred to another AutoPASS Issuer, necessary personal data may be transferred. The Customer will be notified at least 14 days prior to transfer. 

8.4 The Company may disclose Customer information, including personal data, to Operators, collection partners, and Statens vegvesen to: 

  • Determine correct rates or remuneration 

  • Handle inquiries from the Customer 

  • Transfer payment responsibility to the Company 

8.5 Personal data may be disclosed when legally required, including to the Police, Customs, and inspection authorities at Statens vegvesen. 

8.6 The Customer has the right to request access (GDPR Article 15), correction (Article 16), and deletion where applicable (Article 17). 

8.7 To provide personal and relevant offers and communication, the Company stores and uses Customer-provided information, payment and invoice history, usage patterns, and public registry information where relevant. For analytical purposes, data is anonymized and aggregated. De-identified data may be used for research.

9. System Maintenance 

9.1 Minor system changes that are not expected to cause disruptions are made continuously without notice. 

9.2 The Company will avoid planned maintenance during critical periods unless strictly necessary. 

10. Limitation of Liability 

10.1 The Company’s liability is limited to reimbursement of unjustly imposed or invoiced Products. The Company is not liable for other losses arising from use or lack of access to Products. This limitation does not apply in cases of gross negligence or intentional misconduct. 

11. Communication and Complaints 

11.1 Customer inquiries may be sent through the Company’s customer service channels. Contact information is available on the Company’s website. 

11.2 Unless otherwise stated, information from the Company regarding the Agreement will be provided via the Company’s website or invoices. Extraordinary information may also be sent by email or other electronic channels using the email address registered by the Customer. 

11.3 Complaints related to incorrect invoicing must be submitted in writing within three weeks of the Customer discovering (or should have discovered) the issue. 

If the Customer’s Tag is stolen and the Customer claims exemption from payment responsibility, documented police reporting and an account of the incident are required. 

The Customer remains responsible for Passages linked to the vehicle, but the Company will assist in communication with the Operator. 

12. Right of Withdrawal 

(This chapter applies to private customers only.) 

12.1 Under the Norwegian Right of Withdrawal Act (Angrerettsloven), the Customer may withdraw from the Agreement within 14 days of entering into it. 

12.2 If the Customer uses consumable Products immediately after entering into the Agreement (e.g., toll crossings), the Customer consents to waive the right of withdrawal for Products already used. 

12.3 The Company may claim compensation for direct costs incurred from the Customer’s Product use before the withdrawal deadline, including costs of acquiring and distributing the Tag. 

12.4 To exercise the right of withdrawal, the Customer may contact the Company’s customer service. 

13. Termination of the Agreement 

13.1 The Customer may terminate the Agreement at any time. Termination is effective from the date the Company receives the Customer’s notice and the termination is registered in AutoPASS Samvirke. Processing normally takes 1–5 business days. 

Payment obligations continue until the termination period has expired, all Passages and unpaid claims are settled, and deregistration is confirmed by Statens vegvesen and/or Operators. 

13.2 Termination must be submitted via the customer portal or in writing to customer service. 

13.3 If the Customer has unpaid claims or otherwise breaches the Agreement, the Company may suspend the Agreement. Claims may be sent to debt collection after reminders. 

Suspension means the Customer loses access to all Products until the breach is solved. 

In cases of material breach, including repeated non-payment, the Company may terminate the Agreement immediately. For less serious breaches, the Customer must receive written notice with a 14-day correction deadline. 

13.4 The Company may terminate the Agreement upon receiving notice of death, bankruptcy petition, insolvency, or personal bankruptcy involving the Customer. The Agreement may not be transferred to third parties without written consent. 

13.5 The Agreement may be transferred to another entity if the Company ceases operations or undergoes a merger, demerger, or other restructuring. Notice will be provided at least 14 days in advance. 

13.6 Upon termination, the Company may require return of the Tag for reuse, proper disposal, and handling of electronic components. The Customer pays return shipping. Failure to return the Tag may result in a fee equal to the replacement cost. 

14. Governing Law and Dispute Resolution 

14.1 This Agreement is governed by and interpreted in accordance with Norwegian law. 

14.2 Any dispute or claim arising from or in connection with this Agreement shall be resolved by the ordinary courts of law. 

 

These terms apply from 01.01.2026 and replace previous versions. The current version is available on the Company’s website.
