Disclaimer: In the event of any discrepancy between the English translation and the Norwegian version of the agreement and product terms and conditions, the Norwegian version shall prevail.

1. Definitions

1.1 AutoPASS: AutoPASS is the Norwegian system for electronic registration and payment of toll crossings, owned by the Norwegian Public Roads Administration.

1.2 Agreement Operator: A traffic payment collector outside Norway with whom the Company has an agreement regarding the collection of payments.

1.3 Agreement Passage: A toll or ferry crossing that is registered and assigned to the Customer’s agreement with the Company.

1.4 Traffic Payment Collector: An entity that collects traffic-related payments. A Traffic Payment Collector corresponds to an Operator in the Norwegian AutoPASS Cooperative.

1.5 TSP Regulations: The Regulation on Toll Service Providers (Utstederforskriften) for toll collection and ferry ticketing, which governs Toll Service Provider’s activities for toll collection on the public road network in Norway and electronic ticketing through the AutoPASS Cooperative.

2. Special Terms and Conditions

2.1 This Agreement (“Agreement”) is an agreement between you as a private or business customer (“Customer”) and AutoSync AS (“Company”) regarding payment for toll and ferry crossings outside Norway. The general terms and conditions for private or business customers and the product terms for AutoPASS (see section 2.3) also apply, but these Terms takes precedence in the event of conflict.

2.2 The Agreement applies solely to the collection of payment for Agreement Passages outside Norway carried out through Agreement Operators. Agreement Passages include all crossings linked to the Customer’s Agreement, regardless of whether they are registered with a tag or by photograph.

2.3 A valid AutoPASS agreement with the Company is a prerequisite for this Agreement and for invoicing foreign crossings through the Company. The TSP Regulations does not apply to foreign crossings, but the AutoPASS terms with the Company apply so far as they are relevant. Section 5.5 on indemnification in the AutoPASS product terms does not apply to this Agreement.

3. Relationship with Agreement Operators

3.1 The Customer may enter into their own agreements directly with Agreement Operators. If the AutoPASS agreement with the Company is terminated, any discount agreements entered into directly with Agreement Operators will also terminate.

4. Rates and Discounts

4.1 Rates and discounts for use of the Agreement in toll and ferry systems are determined by the Agreement Operators. Information on rates and discounts can be found on the individual Agreement Operator’s website.

4.2 Rates in foreign toll systems are stated in the local currency. The Company will convert amounts to Norwegian kroner (NOK) using exchange rates from Norges Bank at the time the Company receives the passage information, with an added currency surcharge. The currency surcharge is stated in the Company’s price list.
